The Club's Incorporation

  1. The Club's Autumn 2015 Newsletter published in early September 2015 disclosed to our members for the very first time that incorporation was being merely 'considered' by the Executive Committee.
  2. Companies House asserts that the Club was incorporated barely a week later on the 11th September 2015 under the Chairmanship of Mike Garrett, as clearly recorded on the Companies' House website .
  3. According to the Companies House website, "A limited company’s date of incorporation is the date that it is registered at Companies House in England and Wales, Scotland, or Northern Ireland. On this date, the limited company comes into existence as a distinct legal ‘person’ that is separate from its members and directors, can buy property in its own name, and is responsible for its own debts and liabilities", and "The accounts do not have to be transferred to the registered company until a convenient date after incorporation" and that "such incorporation is irreversible".   4. Two of the three Companies' House requirements for incorporation were met on the 11th September 2015, by formally submitting provisional Byelaws to Companies’ House and by identifying three Directors for the new company.
  5. The third Companies’ House requirement was to have our members’ prior agreement, which had not been sought. This also breached our own (pre-incorporation) Club Byelaws.
  6. Furthermore, the members were not given any choice over the selection of the three Company Directors or of the wording of the submitted provisional Byelaws. Everything was carried out autocratically, as directed by Mike Garrett.
